LLP is a legal entity registered with the registrar of companies which gives it a separate identity and flexibility in terms of management and profit-sharing. It also offers limited liability to the partners while conducting business and protects their personal assets. However, the registration process requires a lot of documentation and compliances to be followed. A Filingpoint professional Chartered accountant can assist you with the process by preparing all the required documents and filing them.
DPIN Application – All the Designated Partners (or those intending to become one) have to apply for their DPIN in Form DIR-3 along with the scanned copies of documents like Aadhaar and PAN and proof of address. This form needs to be signed by a Company Secretary, Chartered Accountant or Cost Accountant in full time practice.
Name approval – The proposed name has to be approved by the registrar of companies. This is done on the basis of the DPIN and whether it is similar to any existing names or an existing partnership firm, LLP, OPC, body corporate or trademark.
Formation – All the necessary forms and documents have to be filed with the registrar of companies along with fees as per Annexure 'A'. The registrar typically approves the application within 14 days.
The registrar then issues an incorporation certificate to the LLP. The next step is to file the LLP Agreement, which sets out the rights and duties of the partners as well as the nature of the business. The LLP agreement can be drafted by the professionals, who can also provide advice and guidance on corporate governance matters.
